terms of sale & general information

After we receive confirmation of your project details as described in your order confirmation, Meyer Wells will allow a maximum of one hour of work time per item related to subsequent changes without additional charges. This work includes communication by email, phone, any rework on drawings, time spent creating or providing additional samples, material re-selection, etc.

All additional time spent on post-sale communication regarding specification changes (whether changes are implemented or not) will be billed at our hourly rate. To avoid incurring such charges, please make sure that your specifications are clear, accurate and pre-approved by the primary customer representative prior to placing your order. Any major changes to the specifications will be handled with a formal change order and quote, and may precipitate additional production costs and/or delayed delivery.

Production cannot begin before Meyer Wells has received a completed scope, a deposit and approved drawings. Meyer Wells reserves the right to amend the due date if these requirements are not met in a timely fashion.

SHOP DRAWINGS

For each product ordered one set of comprehensive shop drawings and one shop drawing revision will be submitted to the client for approval; any additional shop drawing revisions made per client request will be billed at current shop rate. An estimate of additional charges will be provided by Meyer Wells and approved by client before being incurred.

FINISH SAMPLES

One finish sample will be provided for client approval; any additional samples produced per client request will be billed at current shop rate unless alternate terms have been agreed to in writing. An estimate of additional charges will be provided by Meyer Wells and approved by client before being incurred.

FINAL BALANCE DUE

All orders require a deposit, with the final balance due upon pick-up or prior to shipping unless alternate terms are detailed and agreed to in writing. Past due balances will be charged the lesser of 1.5% per month or the highest rate permitted by law plus all collection costs, including reasonable attorney’s fees and expenses. This document and customer’s purchase shall be governed by and construed in accordance with the laws of the State of Washington, and the venue for any dispute shall be in the state or federal courts located in King County, Washington. The substantially prevailing party in any such dispute shall be entitled to receive its reasonable attorneys’ fees and costs from the other party.

TAXES

The Customer shall pay all sales, use, excise and other taxes applicable to the sale. Resale and/or exemption certificates must be forwarded to Meyer Wells and kept current for the duration of the contract.

ORDER CHANGES & CANCELLATIONS

Once we have received your signed Order Confirmation any change must be acknowledged by Meyer Wells via written change order, prepared by MW and signed by you, signaling your acceptance of any additional charges or changes to the schedule. Note that pricing may change if existing specs are changed or if quantities are adjusted. In the event of an order cancellation you will be liable for cancellation charges to be determined reasonably by Meyer Wells on a case by case basis.

STORAGE OF COMPLETED WORK

Meyer Wells will store completed work free-of-charge for up to 10 business days after the completion date. Thereafter fees will be charged as follows:  10% per day, per invoice amount. The daily charge will begin on the 10th working day after you have been notified that your order is complete and ready to be picked up, either by fax, email or phone, unless other arrangements have been made.

CLAIMS

Merchandise is shipped FOB factory, freight prepaid and allowed via truck. Title of goods changes to the purchaser when merchandise leaves Coriander Designs’s dock and any subsequent freight damage and all freight claims are the responsibility of the purchaser. All shipments are transferred to the transportation company in good condition. Meyer Wells’s responsibility ceases at that time. 

PRODUCT IMAGES

Product images may be taken prior to shipment or delivery. The images will be the property of Meyer Wells and may be used for any purpose, including professional and educational use in electronic or print media with the customer’s information undisclosed. Any NDA served and signed by both parties may supersede this condition.

DELIVERY & INSTALLATION

All work is FOB our Woodinville location as noted on each Order Confirmation. Customer shall be responsible for insuring the full replacement value of the product once Meyer Wells relinquishes the product to a shipping carrier for loading. Meyer Wells does not deliver nor install work unless agreed to in writing. Delivery by third party is available and may be arranged by Meyer Wells. All shipping and associated costs are the responsibility of the customer. In the case of linear stock and architectural materials, delivery does not include unloading, which is the responsibility of the receiving party.

NATURAL CHARACTER

The Natural Characteristics of the wood we use shall include ongoing wood movement, cracks, knots, and color changes due to exposure to light and oxygen. Wood with character is more prone to movement than wood without character, due to the expansion and contraction of vectors going in many directions. Meyer Wells warrants that our product will be practical and useful, but cannot guarantee that the product will be free of such Natural Characteristics.

ENVIRONMENTAL PARAMETERS

The environment into which Meyer Wells’ products will be installed must have an ambient hygrometry within the range of 35-55% relative humidity, and temperature between 55-80 degrees at all times in order to reduce the likelihood of abnormal failures due to an uncontrolled environment. The customer accepts full responsibility for failures of wood that result from a product being placed in an environment outside of these specified ranges.

ONE-YEAR LIMITED WARRANTY

Meyer Wells warrants both our workmanship & finishes for one-year against any abnormal failures. Customer’s sole remedy will be repair or replacement of the product, selected at Meyer Wells’ reasonable discretion. This warranty does not cover color change due to weathering and sun exposure. Furniture that has been exposed to sun and weathering may have color and appearance changes including but not limited to possible warping, cupping, and splitting of the wood. This warranty does not cover failure to product caused by lack of appropriate care/maintenance or improper storage. Meyer Wells disclaims all other express or implied warranties, including but not limited to the implied warranties of merchantability or fitness for a particular purpose. In no event shall Meyer Wells be liable for any incidental, indirect, or consequential damages, including but not limited to business interruption or lost profits, or be liable for delays or failure to perform due to acts of third-parties or force majeure events, including but not limited to acts of nature, strikes, fires, or government regulations/orders. Your PO and/or deposit will act as your agreement with our terms as stated herein..
